Addendum to Hauler Software Terms and Conditions – Payment Processing
The Agreement and these Master Subscription Agreement Terms of Service (“Terms of Service”) govern your use and access to our Services and forms a legal agreement between Hauler Software OPCO, LLC (“Hauler”, “we”, “us”, or “our”) and the Customer (“you”, “your”). Capitalized words in these Terms of Service shall have the same meaning as used in the Agreement and as shown in the Definitions. Our Privacy Policy explains how we collect and use Your Data when using the Services. Our End User License Agreement explains the obligations of End Users when using our Services. By using the Services, you are agreeing to be bound by these Terms of Service, our Privacy Policy, and our End User License Agreement, which are incorporated into this document by reference. If you do not agree to these Terms of Service or are not able to be bound to these Terms of Service, you are not to use or access the Services. This Payment Processing Addendum (“Addendum”) supplements and forms an integral part of the Hauler Software Terms of Service. By continuing to use the Hauler Software platform or submitting payment for services, you acknowledge and agree to the terms of this Addendum in addition to the main Terms of Service.

1. Service Description
Hauler Software provides waste management and hauling services including but not limited to: dumpster rental, waste removal, debris hauling, recycling services, and related logistics coordination. Services are provided as quoted and scheduled through our platform.

2. Payment Processing
• Payment Method: Charges may be made in advance, at the time of service completion, or otherwise in accordance with the terms outlined in your quote or service agreement.
• Payment Processor: Payments are processed by Adyen N.V. (legal entity: Adyen N.V., Simon Carmiggeltstraat 6-50, 1011 DJ Amsterdam, Netherlands).
• Financial Services Provider: DSQ Technology, LLC, is the financial services provider and partner to Hauler Software OPCO, LLC. Through this partnership, DSQ Technology facilitates payment processing on behalf of service providers using the Hauler Software platform.
• Sub-Merchant Designation: If you are a service provider using the Hauler Software platform to offer hauling, waste removal, or related services, you are considered a sub-merchant under the payment facilitation relationship between DSQ Technology, LLC and Adyen N.V.
• Third Parties: Service delivery may involve third-party contractors, disposal facilities, and transportation providers.

3. Service Delivery
• Timing: Services are provided on scheduled dates as confirmed in your quote.
• Service Area: We provide services within our designated operational areas as specified during quote creation.
• Completion: Services are considered delivered upon completion of the hauling/removal work.

4. Refund and Cancellation Policy
• No Refunds: Services are provided as-is. Once services have been rendered and materials removed, no refunds will be provided.
• Cancellation: Services may be cancelled up to 24 hours before scheduled delivery without penalty. Cancellations within 24 hours may incur service fees.
• Service Issues: If you experience service quality issues, contact us immediately. We will work to resolve concerns, but monetary refunds are not available for completed services.
• Process: To cancel services, email us at the contact information below or call our customer service line.

5. Data and Privacy
• Data Collection: We collect customer contact information, service addresses, billing details, and service preferences.
• Data Sharing: Customer data may be shared with our service partners, payment processors (Adyen), DSQ Technology, and as required by law.
• Cookie Policy: Our website uses essential cookies for functionality and analytics cookies to improve service (with your consent).

7. Governing Law
- These Terms of Service shall be governed by the laws of the Commonwealth of Pennsylvania without regard to its conflict of laws provisions.
- Any dispute between Hauler and Customer, arising out of these Terms of Service, which cannot be settled through negotiation or mediation, will be resolved exclusively, and shall be enforceable, in the state and federal courts located in Pittsburgh, Pennsylvania. Customer hereby expressly agrees that summons and complaint commencing an action or proceeding in such Courts shall be properly served and shall confer personal jurisdiction if served personally or if served by certified mail to Customer at Customer’s address set forth above, or as otherwise provided under the laws of the Commonwealth of Pennsylvania or the United States of America. Customer hereby waives any claim that the state and federal courts in Pittsburgh, Pennsylvania are an inconvenient forum and any claim that any action or proceeding arising out of or relating to this Agreement and commenced in the Courts lacks proper venue.
